Who Owns Whataburger?
BDT Capital Partners, a Chicago investment firm, since 2019. The founding family kept a minority stake, and the change in growth since is not subtle.
That sale was received badly in Texas, where the chain functions as something closer to a state institution than a burger business. Six years on there is enough evidence to judge what it actually did.
The sale
Harmon Dobson opened the first Whataburger in Corpus Christi in 1950 and the family held the company from then on. Dobson died in a plane crash in 1967 and his widow Grace and later their children ran it.
In June 2019 the family announced the sale of a majority stake to BDT Capital Partners, citing long term expansion plans. They kept a minority holding and the Whataburger name, headquarters and Texas identity all stayed in place.
What actually changed
The clearest evidence is in the opening numbers.
| Period | Net new restaurants |
|---|---|
| 2018 to 2019, before the sale completed | 5 |
| 2020 | 14 |
| 2021 | 29 |
| 2022 | 52 |
| 2023 | 72 |
| 2024 | 88 |
Sales followed. The company reported around 4.12 billion dollars for 2024, up 9.4 percent on the prior year, and now runs roughly a thousand restaurants across 17 states.
That is what outside capital buys: not better burgers, but the money and the appetite to open far more restaurants than a family business was willing to fund.
New leadership and a faster kitchen
The chain is now led by chief executive Debbie Stroud, who came from senior roles at McDonald’s and Starbucks. Her stated focus has been operational rather than culinary. She has described arriving with a lens of assessing how to run the kitchen and production system more efficiently.
In practice that has meant a new kitchen management system with visual assembly guides, and testing clamshell grills intended to cut a burger’s cook time from around three minutes to roughly seventy seconds.
Chief marketing officer Scott Hudler and vice president Donna Tuttle have described the approach to new markets as community first, saying the company does not show up to sell a burger but to be part of the community.
Is this private equity in the usual sense?
Worth being precise, because the label does a lot of work.
BDT was founded to work with family and founder controlled businesses and typically holds for longer than a conventional buyout fund. That is a meaningfully different posture from the firms behind some other chains covered here, and it is presumably why the Dobsons chose it.
It is still outside ownership with a return to earn, and the acceleration in openings is exactly what that produces. The difference is one of timescale rather than of kind. For contrast, the Red Lobster case shows what happens when a deal is structured against the operating business rather than alongside it, in why Red Lobster went bankrupt.
Is Whataburger a franchise?
Partly. The company operates a large share of its restaurants directly and also franchises, with franchising dating back to 1953. That mix is why prices and hours can vary between locations but less dramatically than at a chain that is almost entirely franchised.
The regional expansion that the ownership change enabled is covered in why Whataburger is only in the South, and current prices are on the Whataburger menu.
Related Questions
Who owns Whataburger?
BDT Capital Partners, a Chicago based investment firm, which acquired majority ownership from the Dobson family on 14 June 2019. The founding family retained a minority stake. The company is privately held and is not listed on any stock exchange.
Is Whataburger still family owned?
Not in terms of control. The Dobson family ran it from 1950 until 2019, a span of sixty-nine years, and still holds a minority stake, but majority ownership sits with BDT Capital Partners. The headquarters, name and Texas base all stayed in place after the sale.
Why did the Dobson family sell Whataburger?
They cited long term expansion plans. Growing a chain nationally requires capital and an appetite for risk that a family business had consistently chosen not to take on, and the opening figures since confirm that expansion was the point rather than a side effect.
Did the sale change Whataburger?
Mostly in pace rather than product. Net new restaurants went from five across 2018 to 2019 to 88 in 2024, and sales reached about 4.12 billion dollars in 2024. The kitchen has also been re-engineered for speed, including testing grills that cut cook time substantially.
Who is the CEO of Whataburger?
Debbie Stroud, who previously held senior roles at McDonald’s and Starbucks. Her focus has been operational, and she has described coming in with a lens of assessing how to run the kitchen and production system more efficiently as the chain scales nationally.
Is Whataburger publicly traded?
No. It is privately held, with majority ownership by BDT Capital Partners and a minority stake still held by the founding family. There is no publicly traded stock in the company and no announced plan to list it.
Is Whataburger a franchise?
Partly. The company runs a large share of restaurants directly and also franchises, a practice that dates back to 1953. That mix means prices and hours vary somewhat between locations but generally less than at chains that are almost entirely franchisee operated.
